1. Acceptance of Terms

By accessing or using GiPiTee (“the Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the Service. The operator of the GiPiTee instance you use (“we,” “us,” or “operator”) may update these Terms from time to time; continued use after changes constitutes acceptance of the updated Terms.

2. Description of Service

GiPiTee is an AI-powered chat assistant that may include: conversational AI, memory and personalization, optional integrations (e.g., email, calendar, drive, SMS), scheduled tasks, and other features made available by the operator. The Service may be hosted by the operator or self-hosted. We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice.

3. Account and Eligibility

You must provide accurate information when creating or using an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least 13 years of age (or the minimum age in your jurisdiction) to use the Service. By using the Service, you represent that you meet these requirements and have the authority to agree to these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Harass, abuse, defame, or harm others, or distribute illegal, harmful, or offensive content.
  • Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service for spam, phishing, or unsolicited communications (including via SMS where applicable).
  • Scrape, automate access, or use the Service in a way that exceeds normal use or violates our rate limits or technical restrictions.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or applicable law.

5. SMS (Text Messaging) Terms

If you enable SMS features:

  • You consent to receive text messages from the Service at the phone number you provide. Message and data rates may apply.
  • You may opt out at any time by disabling SMS in settings or replying STOP if that option is offered.
  • Message frequency depends on your use (e.g., when you text the Service or when the assistant sends you a message via the SMS tool).
  • SMS is provided using third-party services (e.g., Twilio) and is subject to carrier and platform rules, including industry standards for short-code and messaging (e.g., CTIA, carrier requirements). By enabling SMS, you also agree to comply with those standards where they apply.
  • We are not responsible for delays, failures, or charges imposed by your mobile carrier.

6. Intellectual Property

The Service, including its software, design, and content (excluding user content), is owned by the operator or its licensors. You do not acquire any ownership rights by using the Service. You retain ownership of content you submit; you grant us a license to use, store, and process that content as needed to provide and improve the Service and as described in our Privacy Policy.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI OUTPUTS MAY BE INACCURATE OR INAPPROPRIATE; YOU USE THEM AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless the operator and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights or applicable law.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which the operator is located, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be resolved in the courts of that jurisdiction, except where prohibited. You waive any objection to jurisdiction and venue in those courts.

12. General

These Terms constitute the entire agreement between you and the operator regarding the Service and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not waive that right or provision. You may not assign these Terms without our consent; we may assign them without restriction.
